The Services include an online platform that provides venues and opportunities for the sale of goods between buyers ("Buyers") and sellers ("Sellers") (collectively referred to as "you," "Users," or the "Parties"). The actual sales contract is entered into directly between the Buyer and the Seller. TikTok is not a party to that contract or any other agreement between the Buyer and Seller and does not accept any obligations in connection with such contracts. The Parties are solely responsible for their sales contracts, merchandise listings, purchase warranties, and other aspects of their transactions. TikTok does not intervene in transactions between Users. TikTok may or may not pre-screen Users or User-provided content or information. TikTok reserves the right to remove any content or information you post on the Website in accordance with Section 6.4 of this document.

Before becoming a User of this Website, you must read and accept all terms and conditions set forth in these Terms of Service, as well as any associated terms and conditions, and you must agree to the processing of your personal data in accordance with the Privacy Policy linked here.

TikTok reserves the right to modify, suspend, or terminate all or any part of this Website or Services at any time, with or without notice, in compliance with local legal requirements. TikTok may release certain Services or features in beta versions, which may not function properly or operate in the same manner as the final version, and in such cases, we assume no liability. TikTok may also, at its sole discretion, limit certain features or restrict your access to parts or all of the Website or Services without prior notice or liability.

TikTok reserves the right to deny access to the Website or Services or refuse to allow you to open an Account for any reason.

If you are under 18 years of age or under the legal age to consent to this Agreement according to the laws of your country ("Legal Age"), you must obtain permission from a parent or legal guardian to open an Account, and such parent or legal guardian must agree to these terms. Users who obtain the personal data of other users through their use of the Services ("Recipients") hereby agree that they will:

(ii) Allow the user whose data has been collected (the “Disclosing Party”) to delete their data from the Recipient’s database; and
(iii) In cases (ii) and (iii) above, allow the Disclosing Party to review what information the Recipient has collected about them, in accordance with and where required by applicable law.

3. Limited License

All proprietary content, trademarks, service marks, brand names, logos, and other intellectual property ("Intellectual Property") displayed on the Website are the property of TikTok and, where applicable, the third-party owners identified on the Website. No right or license is granted, directly or indirectly, to any party accessing the Website to use or reproduce any Intellectual Property rights, and no party accessing the Website shall claim any right, title, or interest therein. 4. Software

   Any software we provide to you as part of the Service is subject to these Terms of Service. TikTok reserves all rights in and to the software that are not expressly granted by TikTok. Any third-party scripts or code linked to or referenced by the Services are licensed to you by the third party that owns such scripts or code, not by TikTok.

5. Account and Security
   5.1
   Certain features of our Services require account registration by selecting a unique user identification ("User ID") and password and providing certain personal information. If you select a User ID that TikTok, at its sole discretion, deems objectionable or inappropriate, TikTok reserves the right to suspend or terminate your account. You may use your account to access other products, websites, or services that are enabled for access or that are bundled or partnered with TikTok. TikTok has not reviewed, and is not responsible for, any third-party content, functionality, security, services, privacy policies, or other practices of these products, websites, or services. If you use such third-party services, the terms of service and privacy policies of those products, websites, or services will apply.

5.2
You agree to:
(a) Keep your password confidential and only use your User ID and password when logging in;
(b) Ensure that you log out of your account at the end of each session on the Website;
(c) Immediately notify TikTok of any unauthorized use of your account, User ID, and/or password; and
(d) Ensure that your account information is accurate and up-to-date.

You are solely responsible for all activities that occur under your User ID and Account, even if such activity or use is unauthorized. TikTok is not responsible for any loss or damage resulting from unauthorized use of your password or failure to comply with this section.

5.3
TikTok reserves the right to immediately suspend, freeze, or terminate your account and User ID for any reason, with or without notice, and to delete or discard any information related to your account and User ID from the Website. TikTok may also cancel transactions, withhold any sales proceeds or refunds, and take any necessary actions, including but not limited to:

Prolonged inactivity
Violation of these Terms of Service
Illegal, fraudulent, harassing, defamatory, or abusive conduct
Multiple user accounts under the same identity
Unusual or excessive product purchases for resale
Abuse of vouchers, including reselling them at a premium
Other actions that TikTok deems necessary
Unauthorized use of an account for illegal, fraudulent, harassing, or abusive purposes may be reported to law enforcement authorities. If legal action is taken in connection with your account, TikTok may be required to cooperate and share information with the authorities.

5.4
Users may request to terminate their accounts by notifying TikTok in writing (including via email at support@TikTok.com). However, termination does not absolve the user of any obligations related to incomplete transactions, shipping, or payments. The user must fulfill any outstanding responsibilities before the account is fully deactivated. TikTok is not liable for any damages resulting from such actions.

5.5
You may only use the Services and open an account if you are located in one of our approved countries, as updated from time to time.

6. Terms of Use
   6.1
   The license to use the Website and Services remains valid until terminated. This license will be revoked if you fail to comply with these Terms of Service. TikTok reserves the right to terminate access to the Services without notice.

6.2
You agree not to:

(a) Upload, post, or share content that is unlawful, harmful, threatening, harassing, defamatory, obscene, hateful, or racially offensive.
(b) Violate any laws, including those related to import/export restrictions or third-party rights.
(c) Upload content featuring unsupervised minors or use the Services to exploit minors.
(d) Impersonate another person or misrepresent your affiliation.
(e) Forge headers or manipulate identifiers to disguise content origins.
(f) Remove proprietary rights notices from the Website.
(g) Modify or create derivative works from the Services without express permission.
(h) Use the Services for commercial benefit beyond what is allowed.
(i) Use the Services fraudulently or misleadingly.
(j) Operate multiple accounts in violation of these Terms.
(k) Use automated tools (such as bots or emulators) to access the Services.
(l) Manipulate product prices or interfere with other users' listings.
(m) Take actions to undermine the feedback or rating system.
(n) Attempt to decompile or reverse-engineer the Services.

You acknowledge that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom such Content originated. This means that you, not TikTok, are entirely responsible for all content that you upload, post, email, transmit, or otherwise make available through the Website.

6.4
TikTok reserves the right to remove content that:

(i) Violates these Terms of Service
(ii) Receives complaints from other users
(iii) Infringes intellectual property rights
(iv) Is otherwise deemed inappropriate

TikTok may also block communications that threaten security or violate the Terms.

6.5
TikTok may access, preserve, and disclose your account information and content if required to do so by law or in good faith belief that such action is necessary to:

(a) Comply with legal processes
(b) Enforce these Terms of Service
(c) Respond to claims of content violations
(d) Respond to customer service inquiries
(e) Protect the rights, property, or personal safety of TikTok, its users, or the public

7. Violations of Our Terms of Service
   7.1
   Violations of this policy may result in a range of actions, including but not limited to:

Content removal
Account restrictions
Account suspension or termination
Criminal charges
Civil actions, including claims for damages or legal injunctions
7.2

8. Reporting Intellectual Property Infringement
   8.1
   As stated above, TikTok does not allow the listing of products that infringe on the intellectual property rights of brands or other intellectual property owners ("IP Owners").

8.2
Unless otherwise expressly stated, users are independent individuals or businesses, and they are not affiliated with TikTok in any way. TikTok is neither the agent nor the representative of any user and does not hold or own any goods listed on the Website.

8.3
If you are an Intellectual Property Owner or a duly authorized agent of an Intellectual Property Owner ("IP Agent") and believe that your rights or the rights of your principal have been violated, you may submit an Intellectual Property Rights (IPR) form and provide the requested documentation to support your claim. Please allow time for us to process the information provided. TikTok will respond to your complaint as soon as possible.

8.4
Complaints submitted under this Section 8 must be in a format prescribed by TikTok, which may be updated from time to time, and must include at least the following:

(a) A physical or electronic signature of the IP Owner or IP Agent ("Reporter").
(b) A description of the type and nature of the intellectual property allegedly infringed and proof of ownership.
(c) A description of the nature of the alleged infringement with sufficient detail to enable TikTok to evaluate the complaint.
(d) The URL of the infringing listing(s).
(e) Contact information for the Reporter, including a physical address, telephone number, and email address.
(f) A statement by the Reporter that the complaint is made in good faith and that the identified intellectual property is being used without authorization from the IP Owner or by law.
(g) A statement that the information provided is accurate and that the Reporter has the appropriate authority to act on behalf of the IP Owner.

8.5
TikTok acknowledges that manufacturers have the right to enter into exclusive distribution agreements or Minimum Advertised Price (MAP) agreements for their products. However, a violation of such an agreement does not constitute an infringement of intellectual property rights. Because enforcement of these agreements is a matter between the manufacturer and the seller, TikTok does not assist with enforcing these agreements and does not enforce exclusivity or price control matters unless required by law.

8.6
Each Seller agrees to hold TikTok and its affiliates harmless from any claims, actions, damages, and judgments arising from any removal of content or product listings related to an intellectual property infringement claim.

9. Purchases and Payments
   9.1
   TikTok supports one or more of the following payment methods in each country where it operates:

(i) Credit Card
Card payments are processed through third-party payment channels. The types of credit cards accepted may vary depending on your location.

(ii) Cash on Delivery (COD)
TikTok offers cash on delivery in selected countries. Buyers may pay cash directly to the delivery agent upon receiving their purchase.

(iii) Bank Transfer
Buyers may pay via ATM or online bank transfer ("Bank Transfer") to TikTok designated Guaranteed Account. Buyers must provide proof of transfer or a payment transaction reference as confirmation using the "Upload Receipt" feature in the TikTok app. If TikTok does not receive payment confirmation within three (3) days, the buyer's order may be canceled.

(iv) Installment Payment Plan
For orders above a certain value, buyers may be eligible to pay in installments through third-party financial providers.

(v) Deferred Payment via SPayLater (if applicable)
Buyers may use the SPayLater service provided by a third-party financial provider to make deferred payments on eligible orders.

9.2
Buyers may change their preferred payment method before making a payment.

9.3
TikTok is not responsible for any loss or damage caused by incorrect shipping or payment information entered by the Buyer or due to incorrect fund transfers. TikTok reserves the right to verify whether the Buyer is authorized to use certain payment methods and may suspend or cancel a transaction if such authorization cannot be confirmed.

10. Seller Wallet
    10.1
    Your Account allows you to store funds received from sales on the platform ("Seller Wallet"). The total balance reflects the sum of all received funds minus any withdrawals.

10.2
Payment for items sold by you on TikTok will be credited to your Seller Wallet within three (3) days after the item is delivered to the Buyer or once the Buyer confirms receipt.

10.3
Once submitted, withdrawal requests cannot be modified or canceled.

10.4
If an error occurs while processing a transaction, you authorize TikTok to initiate a debit or credit entry to your designated bank account to correct the error. If the debit attempt fails, TikTok may attempt alternative methods, including deducting the amount from your Seller Wallet.

10.5
You authorize TikTok to initiate debits or credits to your Seller Wallet to:

(a) Correct any processing errors.
(b) Address fraudulent or suspicious activities.
(c) Handle lost, damaged, or incorrect items.
(d) Process incentives or rebates.
(e) Recover unpaid fees.
(f) Resolve transaction disputes.
(g) Address issues related to prohibited or restricted items.
(h) Process refunds in cases of Buyer-Seller agreement.
(i) Recover any outstanding amounts owed to TikTok.
(j) Purchase advertising credits if the automatic recharge feature is enabled.

10.6 TikTok reserves the right to limit, freeze, or suspend access to your Seller Wallet if you fail to repay outstanding amounts owed. 11. Changes to Terms of Service TikTok reserves the right to update, modify, suspend, or terminate these Terms of Service at any time. Updates will take effect immediately upon publication on the Website. 12.
